(“Data Protection and Privacy Policy”)

Introduction 

SiTime Corporation is committed to respecting your online privacy and recognizes your need for appropriate handling of any Personal Data you share with us in connection with our website at sitime.com (the “Site”). “Personal Data”means information relating to an identified or identifiable individual, which includes, but is not limited to, your name, user name, password, I.D. number, physical address or other location data, email address, phone number, fax number, mobile number, company name, and position at your company. We respect your right to keep your Personal Data private, and thus we strive to protect your Personal Data in accordance with this Data Protection and Privacy Policy.

SiTime established this Data Protection and Privacy Policy so that you can understand our policies with respect to our use and disclosure of your Personal Data. By checking the affirmative consent box, you consent to the terms of this Data Protection and Privacy Policy and to SiTime’s collection, use, and disclosure of your Personal Data in accordance with this policy.

Personal Data We Collect 

We collect your Personal Data only when it is provided by you or obtained by us via your affirmative consent. You can visit our Site without telling us who you are or revealing any Personal Data about yourself. However, our Site provides opportunities for you to voluntarily provide us with Personal Data by registering with the Site and creating a login or requesting samples through our request form. If you provide us feedback or contact us via email, we may collect your name, email address, and other Personal Data provided to us in your email or other communication in order to send you a reply.

The Purposes for which SiTime May Use Your Personal Data

SiTime will use your Personal Data for the purpose of marketing, selling, and distributing its own products. Moreover, SiTime gives Site visitors the ability to “opt in” to receive its newsletters, product information, data sheets, and collateral marketing material (collectively, “Materials”). SiTime may use your Personal Data to fulfill your requests for Materials or samples. In the future, SiTime may permit Site visitors to make purchases of SiTime’s products through its Site, using Personal Data to facilitate that service. SiTime also uses your Personal Data to respond to your inquiries relating to employment opportunities, product sales, support, and corporate information about SiTime.

With Whom Do We Share Personal Data and for what Purpose 

If you choose to submit Personal Data to us, SiTime may share that Personal Data with 

(a)        Its distributors, sales representatives, dealers, value added resellers, and other third-parties in SiTime’s distribution channels for their purposes of marketing and supporting our products; and 

(b)       Third-party service providers under contract to perform functions on our behalf, such as customer support for SiTime products and sending postal mail or emails to fulfill requests for Materials or samples (the foregoing in (a) and (b) hereafter referred to as “Processors”). We will refrain from using your Personal Data for any other purpose unless we notify you first and obtain your affirmative consent with respect to its use outside of these above-stated purposes. Likewise, our Processors may have access to and use your Personal Data only as necessary to perform their functions described above. SiTime may also share your Personal Data with any buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by us about our Site users is among the assets transferred. That company will possess the Personal Data collected by us and will assume the rights and obligations regarding your Personal Data as described in this Data Protection and Privacy Policy. We may share some or all of your Personal Data with our Affiliates, in which case we will require our Affiliates to honor this Data Protection and Privacy Policy. “Affiliate” means a parent company, subsidiary, joint venture, or other company under common control with SiTime. We may disclose your Personal Data if we have a good faith belief that disclosure is necessary to: (1) comply with the law or with legal process served on us; (2) protect and defend the rights or property of us or our users; (3) act in an emergency to protect someone’s safety; or (4) investigate any violation or potential violation of the law, this Data Protection and Privacy Policy, or any other agreement between you and SiTime.  

Anonymous Information

SiTime may also share with its Processors and advertisers, business partners, and other third-parties Anonymous Data in aggregated form about its Site visitors. For example, we might share that our Site users are “x” percent PC users and “y” percent Macintosh users. SiTime will have the right to use Anonymous Information for any purpose and in any manner. “Anonymous Information” means information that is not associated with or linked to your Personal Data; Anonymous Information does not, by itself, permit the identification of individual persons. Anonymous Information includes non-personally identifiable data we create from Personal Data by excluding information that makes such data personally identifiable.

Public Areas

We display your username and email address (collectively, your “Public Profile”) when you post comments to our blogs or use other community features of the Site (collectively, “Public Areas”). Your Public Profile is available on the Site to other visitors. If you post content to or use Public Areas or send emails or other messages to other users of our Site, you should be aware that any Personal Data you provide in that regard can be read, collected, or used by other users of the Site and could be used to send you unsolicited messages. We are not responsible for the Personal Data you choose to submit in the Public Areas or send to other users.

Cookies and Other Tracking Technologies 

SiTime may also collect visitor information, such as an IP address, browser type, operating system type, pages visited, clickstream patterns, and time spent on our Site, by using cookies, Flash cookies, navigational data like Uniform Resource Locators, server log files, clear gifs, and JavaScript. This information will be used only by SiTime to better understand the use of the Site and to improve your customer experience and the usability of and content on the Site.

We may also use cookies or Flash cookies to save your settings and to provide customizable and personalized services (such as to hold your registration information). A “cookie” is a small data file placed on your hard drive when you visit certain websites. A “Flash cookie” is a small data file placed on your hard drive when you visit certain websites that use Adobe Flash. We do not control use of these cookies used by advertisers and partners and expressly disclaim responsibility for information collected through them.

We may be also using functionality cookies. These cookies enable helpful but non-essential website functions that improve your website experience. By recognizing you when you return to our website, they may, for example, allow us to personalize our content for you, greet you by name, or remember your preferences (for example, your choice of language or region). We are also using analytical/performance cookies. These cookies allow us and our third-party service providers to recognize and count the number of visitors and to see how visitors move around our website when they are using it. This helps us improve how our website works by, for example, ensuring that users can easily find what they need on our website. These cookies generate aggregate statistics that are not associated with an individualized profile. 

We may use software tools such as Flash or JavaScript to collect page interaction information such as clicks, drags, and hover-overs, response times, errors, and length of visits to certain pages.

We may use clear gifs (otherwise known as web bugs or web beacons) to gather information about your visit to the Site, such as what you click on and pages and information you viewed. Additionally, be aware that advertisers and partners may also use their own clear gifs and we do not control use of these by advertisers and partners and expressly disclaim responsibility for information collected through them. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies. In contrast to cookies, which are placed on a user’s hard drive, clear gifs are embedded invisibly on web pages.

Your Control of the Use of Your Personal Data

If you receive Materials or other communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to “opt-out” by following the unsubscribe instructions provided in the email you receive. Should you opt-out of receiving future mailings, we may share your email address with our Processors to ensure that you no longer receive further communications from the Processors. Despite your indicated email preferences, we may send you notices of updates to our Data Protection and Privacy Policy or other terms for the Site.

How Long Do We Keep Personal Data? 

SiTime will keep Personal Data only as long as it is necessary to accomplish the purpose for which it was originally collected. From time-to-time, SiTime may purge or delete some or all of the Personal Data it keeps in its database in compliance with the foregoing.

SiTime Provides a Means for You to View, Correct and/or Delete Your Personal Data Maintained in SiTime’s Database

You may view, change, or request deletion of any of your Personal Data by contacting the SiTime Data Privacy Officer using the contact information below, but please note that we may be required (by law or otherwise) to keep this information and not delete it (or to keep this information for a certain time, in which case we will comply with your deletion request only after we have fulfilled such requirements). When we delete any information, it will be deleted from the active database, but may remain in our archives.

Measures Employed by SiTime to Protect Your Personal Data in our Possession

In addition to sharing Personal Data with Processors as described above, Personal Data will be shared within SiTime on a “need to know” basis. We have commercially reasonable security measures in place to help protect against loss, misuse, and alteration of your Personal Data in our possession. No method of transmission over the Internet, or method of electronic storage, is 100% secure, however. Therefore, while SiTime uses reasonable efforts to protect your Personal Data, SiTime cannot guarantee its absolute security. SiTime will contractually require each Processor or other third-party with whom it shares Personal Data to use reasonable measures to protect that Personal Data. However, SiTime cannot monitor these Processors and other third-parties to ensure that they comply.

Third-party Links and Services

The Site provides links to third-party web sites and services. These links are provided for your reference only. We do not control, operate or endorse in any respect information, products, or services on such third-party sites or services and are not responsible for their content. Many third-party sites and services have their own terms of use and privacy policies that differ from ours. This Data Protection and Privacy Policy only applies to our Site and the information obtained from or provided by you through the Site for the purposes of accessing or using content controlled and owned by us. This Data Protection and Privacy Policy does not apply to any other site or service.

Our lead collection partners may collect Personal Data from you when you visit the Site. SiTime is not responsible for the collection, use, and disclosure of such Personal Data by those lead collection partners. Such collection, use, and disclosure is governed by those lead collection partners’ terms of use and privacy policies, and not by this Data Protection and Privacy Policy.

Changes to this Data Protection and Privacy Policy 

SiTime reserves the right to amend this Data Protection and Privacy Policy at any time. Should we make material changes to this Data Protection and Privacy Policy, we intend to take reasonable steps to notify you of such changes by posting a prominent notice on our Site for a reasonable period of time. Any changes to this Data Protection and Privacy Policy will be effective immediately for new users of our Site; otherwise these changes will be effective thirty (30) calendar days following our posting of such notice. Continued use of our Site following notice of such changes shall indicate your acknowledgement of, and agreement to be bound by, such changes. Except as otherwise provided in this paragraph, no amendment to this Data Protection and Privacy Policy will be valid unless in a writing hand-signed by the parties.

Children Under the Age of 13

Our Site is not intended for children under 13 years of age. No one under age 13 may provide any information, whether Personal Data or otherwise, to or on the Site. We do not knowingly collect Personal Data from children under 13. If you are under 13, do not use or provide any information on this Site or on or through any of its features/register on the Site, make any purchases through the Site, use any of the interactive or public comment features of this Site or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. If we learn we have collected or received Personal Data from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under the age of 13, please contact the SiTime Data Privacy Officer using the contact information below.

Processing Personal Data According to GDPR 

Additionally, if the processing of your Personal Data falls within the scope of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data, known as the General Data Protection Regulation (“GDPR”), then such processing shall also be performed in accordance with GDPR requirements. Therefore, in addition to the above terms, SiTime provides you with the following information: 

(a)        The contact information for the SiTime Data Privacy Officer is provided in the last paragraph below (Contacting SiTime);

(b)       Personal Data is processed only for the express purposes set forth in this Data Protection and Privacy Policy and is based on your affirmative consent given;

(c)        Personal Data may be transferred to Processors located around the world;

(d)       You are entitled to:

  • request from SiTime access to and/or a correction to or an erasure of Personal Data;
  • request from SiTime to have a restriction placed on the processing of your Personal Data;
  • raise an objection with SiTime to its processing of your Personal Data; 
  • request from SiTime a copy of your Personal Data and/or have that Personal Data transmitted to another controller;

(e)        You may at any time lodge a complaint with a supervisory authority located in the European Union having jurisdiction over processing; and

(f)        SiTime does not perform automated decision-making, including profiling.
